TERMS & CONDITIONS

1. Introduction

These Terms and Conditions ("Agreement") constitute a legally binding contract between you ("the Member," "you," or "your") and The Mothershift Ltd, a private limited company incorporated in England and Wales under company number 16611555 ("Company," "we," "us," or "our").

By purchasing a membership, accessing our digital products, utilising the member services, or engaging with the Site (defined below), you confirm that you have read, understood, and agreed to be bound by the terms of this Agreement in their entirety.

2. Definitions

"Site" means www.themothershift.co.uk and all associated pages and subdomains.
"Services" means the provision of a digital membership programme, inclusive of access to exclusive offers and a digital membership card.
"Eligibility Documentation" means documents including but not limited to MATB1 forms, maternity exemption certificates, or adoption matching certificates.

3. Nature of the Service

The Company offers a non-recurring, non-refundable digital membership ("Membership") which grants the Member access to:

A digital pass compatible with Apple Wallet and Google Wallet
A restricted-access online directory of participating third-party businesses offering discounts or privileges
Periodic email communications and a quarterly digital magazine (where consented)

4. Eligibility

4.1 Membership is expressly and exclusively reserved for persons who are:

Pregnant at the time of application; or
On statutory maternity leave; or
On statutory adoption leave.

4.2 The Company reserves the right to verify the Member’s eligibility through submission of appropriate documentation. Failure to provide accurate or legitimate documentation constitutes a breach of this Agreement.

4.3 Any Member subsequently determined to be ineligible shall have their access terminated with immediate effect and shall not be entitled to any refund, whether partial or full.

5. Commencement and Duration

5.1 Membership becomes active immediately upon successful payment confirmation.

5.2 Membership shall remain valid for a period of twelve (12) calendar months from the baby’s due date as stated at the time of registration.

6. Payment and Non-Refundability

6.1 The Membership Fee is payable in full at the time of registration and shall be processed via Wix Payments.

6.2 The Fee is strictly non-refundable, irrespective of non-usage, technical incompatibility, Member error, or change of circumstances.

6.3 The Member warrants that they have reviewed and understood the eligibility requirements prior to purchase.

7. Prohibited Conduct

7.1 The Member agrees not to:

Share, resell, reproduce, or distribute their membership or digital pass
Attempt to circumvent access restrictions or security features
Provide fraudulent documentation to gain eligibility

7.2 Breach of this Clause shall result in immediate and permanent termination of membership and access without notice or refund.

8. Intellectual Property Rights

8.1 All content, designs, graphics, branding, trademarks, layout, and structure of the Site and digital pass are the exclusive property of The Mothershift Ltd or its licensed suppliers.

8.2 The Member agrees not to reproduce, transmit, distribute, or exploit any content without the express prior written consent of the Company.

9. Third-Party Discounts and Limitations of Liability

9.1 The Company facilitates access to offers and discounts provided by independent third-party businesses ("Partners").

9.2 The Company does not warrant or guarantee the availability, accuracy, or reliability of any third-party offer.

9.3 The Company shall not be liable for any loss, damage, disappointment, or inconvenience arising from:

A Partner altering, refusing, or withdrawing an offer
The quality or safety of goods/services provided by Partners

9.4 Any dispute or query concerning a discount or offer shall be directed exclusively to the Partner.

10. Suspension and Termination

10.1 The Company reserves the right to suspend or permanently terminate a Membership without notice in the event of:

Breach of any provision of this Agreement
Fraudulent activity or misuse of the Site or Services

10.2 Termination under Clause 10.1 does not entitle the Member to any refund or compensation.

11. Changes to Terms

11.1 The Company reserves the right to amend, vary, or update these Terms at any time without prior notice.

11.2 Continued use of the Site or Services following such amendments shall constitute acceptance.

12. Governing Law and Jurisdiction

12.1 This Agreement shall be governed by and construed in accordance with the laws of England and Wales.

12.2 Any disputes or claims arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts of England and Wales.
